The Amendment of Civil and Commercial Code (No. 23) B.E. 2565 was announced at the Royal Gazette effective from February 7^th 2023.

Under the new structure, the minimum number of shareholders needed for incorporating a Thai Limited Company or Partnership has been reduced to two shareholders from the previous three, however the ratio 49 % for foreign and 51 % for Thai shareholder hasn’t been changed.
